Directors & Officers Insurance
Directors & Officers Insurance is an insurance policy that protects the company and its management from the costs of certain lawsuits and regulatory actions. The policy is designed to reimburse settlements or defense costs that result from a covered claim. A D&O policy contains three insuring agreements – Side A, Side B, and Side C
Side A: Protects assets of individual directors and officers for claims where the company is not legally or financially able to indemnify
Side B: Reimburses the company to the extent that it grants indemnification and legal fees on behalf of its directors and officers
Side C: Extends coverage to the company itself
